SECTION 12 - REVIEWS & FEEDBACK

 Except as otherwise provided elsewhere in this Terms & Conditions or on the site, anything that you submit or post to the site and/or provide Goldside Jewelry, including, without limitation, ideas, know-how, techniques, questions, reviews, comments, and suggestions (collectively, “Submissions”) is and will be treated as non-confidential and nonproprietary, and by submitting or posting, you agree to irrevocably license the entry and all IP rights related thereto (excluding the moral rights such as authorship right) Goldside Jewelry without charge and Goldside Jewelry shall have the royalty-free, worldwide, perpetual, irrevocable, and transferable right to use, copy, distribute, display, publish, perform, sell, lease, transmit, adapt, create derivative works from such submissions by any means and in any form, and to translate, modify, reverse-engineer, disassemble, or decompile such submissions. All submissions shall automatically become the sole and exclusive property of Goldside Jewelry and shall not be returned to you and you agree not to raise any dispute in connection with any use of the entry by Goldside Jewelry in the future.

You warrant that your submissions, in whole or in part, are clear and free of any IP right infringement, disputes or third party claims. Goldside Jewelry assumes no liability for any misuse of copyright or any other rights of third parties by you. You undertake to defense for and indemnify against any losses caused due to the use of the entries for any purposes.

In addition to the rights applicable to any submission, when you post comments or reviews to the site, you also grant Goldside Jewelry the right to use the name that you submit with any review, comment, or other content, if any, in connection with such review, comment, or other content. You represent and warrant that you own or otherwise control all of the rights to the reviews, comments, and other content that you post on this site and that use of your reviews, comments, or other content by Goldside Jewelry will not infringe upon or violate the rights of any third party. You shall not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead Goldside Jewelry or third parties as to the origin of any submissions or Content. Goldside Jewelry may, but shall not be obligated to remove or edit any submissions (including comments or reviews) for any reason.

SECTION 13 - INTELLECTUAL PROPERTY RIGHT

 Goldside Jewelry is the owner or the licensee of all intellectual property rights in and to the content on the site, and in the material published on it. You may not copy, reproduce, modify, republish, upload, post, transmit, adapt, download, distribute or howsoever deal with any content or material from the site in any form or by any means without Goldside Jewelry’s prior written permission. If you believe an intellectual property right has been violated on the site, please contact us.

The website may  contain links to third party websites that are not owned by Goldside Jewelry, this includes third party payment system providers. You acknowledge and agree that Goldside Jewelry is not responsible for the content, privacy policies, or practices of such third party websites or the companies that own them. By using this website, you agree to absolve Goldside Jewelry from any and all liability arising from your access and use of any third party website.

SECTION 15 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

 The site, its services and all information provided herein are provided on an “as is” and “as available” basis without warranties of any kind, either expressed or implied, other than those imposed by law, including but not limited to warranties of title or implied warranties of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement.

(iv) any warranties provided under these Terms & Conditions if the total price for the product has not been paid in cleared funds by the due date for payment.

Your payment for any Product purchased from the Site is processed by third party payment system providers and Goldside Jewelry does not retain or process any such payment information. Goldside Jewelry cannot guarantee the security of such third party payment system or any payment data on the site, Goldside Jewelry is not responsible for any acts or omissions of any third parties and disclaims any and all liability in connection with the acts, omissions or defaults of such third parties. Without prejudice to the generality of the foregoing, Goldside Jewelry is not responsible for the results of any credit inquiry, the availability or performance of the Internet, your connection to the Internet or the actions or inaction of any other person or entity, including any internet service provider. By using the site, you expressly relieve Goldside Jewelry from any and all liability in connection with the acts, omissions or defaults of such third parties.

To the extent that any exclusion of liability under these Terms & Conditions is not permitted by law, the aggregate cumulative liability of Goldside Jewelry and our affiliates under any order shall in any event not exceed the sum that you have paid to us for the sale of products under that order.

 Goldside Jewelry reserves the right to amend the site and Terms & Conditions from time to time without any prior notice.
